KasaTool is operated by Leonardo Gomez under the KasaTool name. Leonardo Gomez is an individual / sole proprietor. KasaTool is not a limited liability company, corporation, or other incorporated entity.
These Terms of Service ("Terms") are a founder-ready draft describing how KasaTool actually works today. They are not a substitute for attorney review and are not legal advice. By creating an account or using KasaTool, you agree to these Terms and acknowledge the Privacy Policy.
1. Introduction / Agreement
KasaTool is an online software platform for property projects, property records, and related marketplace, messaging, and planning tools. These Terms are an agreement between you and Leonardo Gomez, an individual / sole proprietor operating under the KasaTool name ("KasaTool," "we," "us").
KasaTool is operated by Leonardo Gomez under the KasaTool name.
If you use KasaTool on behalf of a business, you represent that you have authority to bind that business.
Electronic copies of these Terms, the Privacy Policy, in-app notices, and transactional emails are how we communicate legally significant account, security, project, marketplace, and legal-update information. Marketing messages are separate from these Terms and from Privacy Policy acceptance, and are not required to use the service.
2. Eligibility / Age
KasaTool is built for adults who hire contractors, create Businesses, enter tenancies, or manage property records.
You must be at least 18 years old to create an account. If we learn that an account belongs to someone under 18, we may close it.
3. Accounts / Security
One person has one KasaTool account. That same account can hold more than one role over time, including homeowner, renter, landlord, and Business/Pro membership.
You are responsible for:
- the accuracy of the information you provide
- keeping your password and email recovery path secure
- activity that occurs under your account
Tell us at hello@kasatool.com if you believe your account was used without permission. We may require you to re-enter your password before sensitive actions such as account deletion.
We may limit sign-in and sign-up attempts to reduce abuse. We do not promise that every message, notification, or email will arrive instantly or at all.
4. KasaTool's Role
KasaTool is a software and marketplace platform. Unless a specific product is later structured and clearly disclosed otherwise, KasaTool is not:
- a general contractor or subcontractor
- an employer, joint employer, or staffing agency of independent Businesses
- a licensed real-estate, insurance, architecture, or engineering professional
- an insurance carrier or insurance producer
- a payment intermediary for the price of construction or repair work between users
- a guarantor of jobs, leads, bids, savings, or revenue
KasaTool provides tools that help users plan work, keep property records, request recommendations, request bids, message other users, and, for Businesses, present a profile and respond to opportunities.
When two users agree to work together, their contract is between them. KasaTool is not a party to that work contract unless a later written KasaTool agreement says otherwise.
5. Homeowner / User Responsibilities
If you use KasaTool as a homeowner, renter, landlord, or other non-Business user, you agree to:
- provide truthful project, property, and contact information
- not use Find a Pro, Get Bids, messaging, or reviews to harass, defraud, or collect contact information for off-platform spam
- independently verify measurements, permits, structural issues, safety, insurance, and professional licensing before starting work
- treat AI output, preliminary prices, and recommendations as informational only
- pay any Business you hire according to the agreement you make with that Business
- use messaging for ordinary project communication, not emergencies
KasaTool does not supervise job sites and does not inspect completed work unless a future product is built and disclosed to do that.
6. Business / Pro Responsibilities
If you create or join a Business on KasaTool, you agree that:
- you are an independent business, not a KasaTool employee or agent
- you will provide accurate identity, trade, service-area, license, and insurance information
- you will keep credentials current and will not present expired or inapplicable credentials as current
- you will only offer services you are legally allowed to perform
- you are responsible for your own employees, subcontractors, taxes, workers' compensation, job-site safety, permits, and workmanship
- you will not request or display a homeowner's phone number or email as a substitute for in-app messaging where the product keeps that information private
- you will not manipulate reviews, rankings, or leads
- you will honor the current beta or paid rules that apply to leads, advertising, and B2B posting, including the fact that some paid features are off today
A Business does not go live on marketplace surfaces until it is in a Verified state under KasaTool's then-current verification workflow. Draft, pending, rejected, and suspended Businesses cannot use those surfaces.
7. Independent Contractor Relationship
Businesses and their workers are independent third parties.
Nothing in these Terms creates an employment, partnership, joint-venture, franchise, or agency relationship between KasaTool and a Business, or between KasaTool and a Business's workers, unless a separate written agreement says so.
Users contract directly with each other for the performance of work. KasaTool does not withhold taxes for those relationships and does not control how a Business performs the work.
8. Find a Pro
Find a Pro is a short wizard that asks about service, location, timing, and details, then stores a snapshot of up to ten recommended verified Businesses.
Those recommendations are generated by deterministic scoring (reviews, licensing configuration, location, and similar stored signals). They are not a guarantee, endorsement, background check, or promise that a Business is the best, cheapest, fastest, or right choice.
A named responsiveness score may appear as zero when KasaTool does not yet have a real responsiveness signal. We do not invent missing quality signals.
You may connect with exactly one Business from a given Find a Pro search. Connect opens an in-app conversation. KasaTool does not give you the Business's phone number or email as part of Connect.
During the current invited beta, paid lead charging is off. The product can later charge a Business's Lead Balance for a successful Find a Pro connection if that feature is turned on by Staff and disclosed at the time. Appearance in a Top 10 list is not itself a charge.
9. Get Bids
Get Bids lets a requesting owner send a bid request, typically after a project exists. Matched Businesses may receive an opportunity and may submit a bid.
Bids and estimates come from the Business, not from KasaTool. KasaTool does not guarantee:
- that any Business will bid
- that a bid price, scope, or timeline is complete or accurate
- that the selected Business will perform
- that five (or any number of) bids will arrive
The requesting owner chooses whether to select a bid. Preliminary AI or engine prices shown on a project are not the Business's bid.
During the current invited beta, paid lead charging is off. If charging is later enabled, KasaTool may charge a Business only for a successful opportunity delivery under the then-current Lead Balance rules, not merely for appearing in a search.
Direct homeowner invitations of a single Business are a separate flow and are not charged in the current product.
10. B2B Subcontractor Marketplace
The B2B marketplace lets one Business post a subcontracting need and lets other Businesses unlock, bid, or respond, depending on the distribution mode.
The posting Business is responsible for the accuracy of the job, site conditions, required credentials, payment to the selected subcontractor, job-site safety, permits, and labor classification. The responding Business is responsible for its own qualifications, bid, insurance, licensing, employees, and taxes.
KasaTool does not:
- hire or pay the subcontractor for the work
- guarantee that credential filters caught every issue
- resolve payment disputes between Businesses
- determine independent-contractor versus employee status under tax or labor law
During the current invited beta:
- the B2B marketplace is on
- B2B Direct unlock is free
- B2B marketplace posting charging is off, so posting to the bid marketplace is not billed
If posting charging is later turned on, the price in effect at publish time applies. We will not silently charge a beta-free path.
11. Verification / Licenses / Insurance
KasaTool uses labels such as Verified, Pending Verification, License Verified, Insurance Verified, and, in B2B filters, Kasa Verified.
These labels mean only that KasaTool Staff reviewed information or documents the Business submitted, or that a stored status derived from those reviews is in a particular state. They do not mean:
- the Business is competent or a good fit
- a license is active, applicable to the job, or in good standing with the issuing authority at the moment of hire
- insurance is currently in force, adequate, or applicable to the job
- KasaTool performed a background check, credit check, or financial-solvency review
- KasaTool inspected workmanship or will stand behind the work
Licensing is not required for every trade. Only trades Staff mark as requiring a license by default prompt for a license. Insurance document review is limited to what was uploaded and reviewed.
You should confirm license and insurance status yourself before work begins.
12. Projects / Bids / Estimates / Contracts
Project records, photos, scopes, and bid requests are user-supplied. KasaTool may store and display them to the people who need them to operate the feature you used.
A bid is an offer from a Business to you. Selecting a bid, messaging about scope, or creating a job record in KasaTool does not make KasaTool a party to the construction or repair contract.
Change orders, invoices, milestones, and job updates that appear in the product are coordination tools. They are not a KasaTool guarantee of payment, performance, or code compliance.
13. Payments / Credits / Fees
KasaTool may charge for its own software and platform services. Those charges are separate from any amount you agree to pay a Business for work.
Subscriptions. Paid KasaTool plans, when offered, are billed through Stripe. Card and bank details are handled by Stripe, not stored by KasaTool as full account numbers.
Lead Balance. Businesses may have a prepaid Lead Balance wallet. If paid lead charging is enabled by Staff, KasaTool may debit that wallet for a successful Find a Pro connection or a successful bid-opportunity delivery. Unpriced trades are not treated as free; they are treated as not qualified to charge. During the current invited beta, paid lead charging is off, and unaffordable-balance filters are not applied.
Advertising / Ad Wallet. Paid Discover advertising and the Ad Wallet exist in the product but the paid-advertising master switch is off during the current invited beta. We do not run paid impression billing while that switch is off.
B2B posting. Marketplace posting prices exist in Staff configuration, but posting charging is off during the current invited beta.
Refunds and credits. Refunds, unused credit, and wallet withdrawals follow the rules in effect for that product at the time of the transaction and any applicable Stripe process. Do not assume a cash refund of unused Lead Balance or Ad Wallet funds unless a then-current policy says so.
KasaTool is not the merchant of record for tools, materials, or contractor work purchased from third parties.
14. AI-Assisted Features
Kasa AI, project analysis, follow-up questions, contractor-draft assist, and related chat features use an AI provider. Today that provider is OpenAI.
AI output may be inaccurate, incomplete, outdated, or unsafe if followed blindly. It is informational only. It is not:
- architecture, engineering, or structural advice
- legal, insurance, or financial advice
- a permit determination
- a safety inspection
- a binding price or scope
You must verify measurements, materials, building code, structural feasibility, and professional requirements before acting.
KasaTool does not let Kasa AI post, message, bid, pay, or change account settings on your behalf without your own action.
15. Visualizations / Project Analysis
The AI Visualization Studio can generate or edit images of a room or property. Those images are conceptual. They do not guarantee dimensions, product appearance, lighting, structural feasibility, or that a pictured change is legal or buildable.
A Project Intelligence Record is a structured analysis of a project version. Preliminary prices from KasaTool's deterministic engines are estimates based on stored analysis and reference data. They are not market quotes, live retailer inventory, or contractor bids.
16. User Content
You retain ownership of content you upload or create, including photos, documents, messages, reviews, bids, project descriptions, portfolio items, and profile text.
You grant KasaTool a limited license to host, store, reproduce, display, transmit, and adapt that content only as needed to operate the service you used, including AI features that send relevant text or images to the AI provider to produce the output you requested, moderation, backups, and legal compliance.
This license is not a grant of unrelated advertising or merchandising rights in your content.
You represent that you have the rights needed to upload the content and that it does not infringe someone else's rights.
KasaTool may remove content that violates these Terms or the Community Guidelines.
17. Reviews
Reviews must reflect a genuine experience. KasaTool may mark a review as tied to a real selected-project relationship when that relationship exists in the product. That mark is not a KasaTool endorsement of quality.
You may not write fake reviews, offer or accept compensation for a review that hides the relationship, or pressure another user to remove an honest review.
KasaTool does not prohibit you from posting an honest negative review. We may moderate reviews that are unlawful, fake, or that violate the Community Guidelines.
18. Messaging / Communications
In-app messaging exists for Find a Pro, selected projects, tenancy/maintenance, marketplace classifieds, support, and similar relationships.
Messaging is not an emergency service. If someone is in danger or a property emergency is underway, contact emergency services.
We do not guarantee instant delivery, read receipts, or that a notification or email about a message will arrive. Some reminder emails are delayed on purpose (for example, an unread-message fallback) and can be turned off in Settings where the product says they are optional.
Support conversations may be handled by KasaTool Staff.
19. Public Profiles
Personal public profiles are opt-in. Business public profiles may appear when the Business is public and eligible.
Do not post another person's private information on a public profile. Public profile content can be seen by people who are not signed in.
20. Property / Location Data
You may store addresses, property details, photos, appliance/system records, documents, and maintenance history.
KasaTool uses an address provider (currently Geoapify) to suggest and verify addresses and to store coordinates used for distance and matching. Those coordinates are used for product features such as service-area matching. They are not a legal survey.
Property records can be sensitive. Share access only with people you intend to include.
21. Acceptable Use
You may use KasaTool only for lawful purposes and only in ways the product is designed to support.
You must comply with the Community Guidelines when you post, comment, message, or review.
22. Prohibited Conduct
You may not:
- break the law or encourage others to break the law
- upload malware or attempt to probe, scrape, or overload the service
- bypass verification, entitlements, paywalls, or the legal-acceptance gate
- impersonate another person or Business
- collect personal information about other users except as the product shows it to you for a relationship you created
- post sexual content involving minors, or any content we reasonably believe exploits a child
- use KasaTool to discriminate in housing or contracting in violation of applicable law
- interfere with Staff review, reporting, or audit records
23. Intellectual Property / KasaTool Content
KasaTool's name, marks, software, design, and Staff-created content belong to KasaTool or its licensors. These Terms do not give you a right to copy the product or use our marks except as needed to use the service.
24. Copyright / DMCA
If you believe content on KasaTool infringes your copyright, send a notice to hello@kasatool.com with:
- your contact information
- a description of the work and where the material appears
- a statement that you have a good-faith belief the use is not authorized
- a statement that the notice is accurate and that you are the owner or authorized to act
- your physical or electronic signature
We may remove reported material and, in appropriate cases, close repeat-infringer accounts.
25. Third-Party Services / Links / Affiliates
KasaTool uses third-party processors to operate, including hosting, database, authentication, email, address lookup, AI, payments, analytics, and video search. Their independent terms also apply to the data they receive.
Some shopping recommendations include affiliate links, including Amazon Associate links. KasaTool may earn a commission if you buy through those links, at no extra cost to you. Affiliate links are labeled where they appear. KasaTool is not the seller of those products.
YouTube or other video results, when shown, are third-party content. We do not guarantee that a video is safe or correct.
26. Suspension / Termination
We may suspend or close an account, hide content, or limit messaging, posting, or marketplace access if we reasonably believe you violated these Terms, the Community Guidelines, or the law, or if we need to protect other users or the platform.
We may also suspend a Business's verification status (including to Rejected or Suspended) after Staff review.
You may stop using KasaTool at any time. Some records remain after an account is closed. See Account Deletion and the Privacy Policy.
27. Account Deletion
You may request account deletion in Settings after we re-authenticate you.
Deletion ends sign-in and anonymizes or removes profile information we no longer need. It does not necessarily delete:
- shared Business records if you are not the sole remaining owner
- tenancy, project, job, message, or review history that another person still needs
- financial, ledger, audit, legal-acceptance, or fraud-prevention records
- copies in backups or logs for a limited period
If you are the sole active owner of a Business, or you own a property that still has activity KasaTool cannot safely erase, you must resolve that first. The product will tell you what is blocking deletion.
There is no "transfer everything to another login" feature today.
28. Service Changes / Availability
We may change, suspend, or discontinue features. We do not guarantee uninterrupted service, any volume of leads or bids, any amount of jobs or revenue, or that other users will respond.
Beta and Staff-controlled feature flags may turn paid or marketplace behavior on or off. The in-product status of those flags controls billing behavior more specifically than older marketing copy.
29. Disclaimers
KASATOOL IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that AI output, verification labels, bids, estimates, recommendations, visualizations, or third-party content are accurate, complete, or safe to rely on without your own professional review.
30. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, LEONARDO GOMEZ AND KASATOOL, AND ANYONE ACTING ON THEIR BEHALF IN OPERATING THE SERVICE, WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO KASATOOL FOR THE SERVICE IN THE THREE MONTHS BEFORE THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS ($100).
These limits do not apply where the law does not allow them, including liability that cannot be limited for death, personal injury, or fraud.
31. Indemnification
You will defend and indemnify KasaTool against claims, damages, and reasonable legal fees arising out of your content, your use of the service, your work or bids, your violation of these Terms, or your violation of another person's rights, except to the extent a claim is caused by KasaTool's own willful misconduct.
32. Disputes / Governing Law
These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law rules, except that if you are a consumer and mandatory law of your state requires a different result, that law controls to that extent.
The exclusive venue for disputes that can be brought in court is the state or federal courts located in Dallas County, Texas, subject to any non-waivable rights you have.
This version does not include an arbitration agreement, a class-action waiver, or a jury waiver. If a later version proposes any of those terms, we will publish that version and, if Staff marks it as requiring re-acceptance, you will be asked to agree before continuing to use the service.
33. Changes to Terms
We may publish a new version of these Terms. Staff, not an automated system, decides whether the new version requires re-acceptance.
If a published version requires re-acceptance, you will see an in-app notice and we will try to email you. You must accept the new required version before using ordinary product features. You can review the documents, sign out, export your data, or request deletion instead.
A version that does not require re-acceptance does not force a new checkbox. The new version still becomes the current published Terms on its effective date.
We do not treat silence, continued browsing of public pages, or a marketing email click as acceptance of a required new version.
